Regex101 Enterprise License Agreement (Self-Hosted)
This Regex101 Enterprise License Agreement governs the customer’s use of Regex101 Enterprise as self-hosted software.
This agreement applies only to Regex101 Enterprise. The general regex101 Terms of Service apply only to the public website, public tools, documentation, checkout, payment flows, or other non-enterprise services, unless expressly stated otherwise.
1. License Grant
Subject to payment and compliance with this agreement, regex101 ApS grants the customer a non-exclusive, non-transferable, non-sublicensable, time-limited license to install and use Regex101 Enterprise in a self-hosted environment.
The license is for the customer’s internal business use only.
The software is licensed, not sold. regex101 ApS retains all ownership and intellectual property rights in the software.
2. Invoice Controls License Scope
The customer’s invoice determines:
- The license type
- The license term
- The number of permitted users, if any
- The number of enterprise licenses purchased
- The price
If there is a conflict between this agreement and the invoice, the invoice controls the commercial terms, and this agreement controls the legal terms.
Customer purchase order terms, procurement portal terms, vendor onboarding terms, or similar customer-provided terms do not modify this agreement unless expressly accepted in writing by regex101 ApS.
3. License Term
The license starts when the license key is issued, unless the invoice states a different start date.
The license remains valid only for the paid subscription period.
Continued use requires renewal. When the license expires or terminates, the customer must stop using the software.
After expiry or termination, the software will stop working, license validation will fail, updates will no longer be available, and the software will be unable to start.
4. License Types
Regex101 Enterprise may be licensed as either an Unlimited License or a Limited License.
Except for the user limit under a Limited License and the instance limit in this agreement, this agreement does not impose limits on usage volume, regex evaluations, requests, containers, pods, servers, nodes, or infrastructure components used to operate the permitted instance.
Unlimited License
An Unlimited License has no contractual limit on the number of users who may access the software within the customer’s legal entity.
An Unlimited License does not permit additional instances, affiliate use, third-party use, resale, sublicensing, managed services, hosting for others, or external commercial use.
Limited License
A Limited License permits use by the number of users stated on the invoice.
One user means one individual user. Shared, pooled, rotating, or concurrent use is not permitted.
The customer may reassign users when replacing users or changing roles, but may not use reassignment to avoid the purchased user limit.
The software may not technically track user count. The user limit is a contractual license limit.
5. Instance Limit
Each enterprise license permits the customer to host and operate one instance of Regex101 Enterprise.
If the customer purchases multiple enterprise licenses, the customer may operate one instance per enterprise license.
An instance means one running deployment of the software, regardless of the number of containers, pods, servers, nodes, or infrastructure components used to operate it.
Backup copies are permitted, provided they are not used as additional running instances.
Additional production, staging, test, development, disaster recovery, affiliate, customer-facing, or third-party instances require a separate enterprise license unless expressly agreed in writing by regex101 ApS.
6. Permitted Users
The software may be used only by the customer’s employees and individual contractors who need access for the customer’s internal business purposes.
Contractors are permitted only while acting for the customer and only if they are subject to confidentiality and use restrictions no less protective than this agreement.
Use by affiliates, subsidiaries, parent companies, group companies, customers, vendors, or other legal entities is not permitted unless expressly agreed in writing by regex101 ApS.
7. Restrictions
The customer may not:
- Redistribute, sublicense, sell, rent, lease, lend, or otherwise make the software available to any third party
- Provide access outside the customer’s legal entity, except to permitted contractors under this agreement
- Use the software to provide a hosted, managed, outsourced, white-label, commercial, or third-party service
- Use the software for resale or to serve external customers
- Reverse engineer, decompile, disassemble, modify, adapt, or create derivative works of the software, except where such restriction is prohibited by law
- Circumvent, disable, block, or interfere with license validation, license keys, technical restrictions, or access controls
- Remove proprietary notices, copyright notices, trademarks, or legal notices
- Use the software to build or improve a competing product or service
- Use the software in violation of applicable law
The customer is responsible for all use of the software by its users.
8. Self-Hosted Software
Regex101 Enterprise is self-hosted software.
regex101 ApS does not host, operate, monitor, administer, secure, back up, or manage the customer’s deployment.
The customer is responsible for installation, infrastructure, configuration, access control, authentication, network security, backups, monitoring, availability, disaster recovery, compliance, and operation of the software.
No uptime commitment, service level agreement, hosting obligation, managed service, or operational responsibility is provided unless expressly agreed in writing by regex101 ApS.
9. License Validation
The software requires outbound access for license validation unless an air-gapped or offline license has been expressly agreed with regex101 ApS.
The software may periodically validate license status using license metadata.
The customer may not disable, block, circumvent, interfere with, or misrepresent license validation.
If license validation fails, the software may stop working or be unable to start.
Air-gapped or restricted-network environments are available on request and must be agreed separately.
10. Updates
Updates are included during the active license term when made available by regex101 ApS.
regex101 ApS may modify, update, improve, or discontinue features of the software at any time.
regex101 ApS does not guarantee any specific update, patch, release schedule, feature, compatibility change, or security fix.
If regex101 ApS becomes aware of a security vulnerability that requires a customer update, regex101 ApS will make reasonable efforts to notify affected enterprise customers.
Access to updates ends when the license expires or terminates.
regex101 ApS may change licensing terms for future purchases, future versions, or future renewals. Such changes do not retroactively affect the customer’s active, paid license term unless expressly agreed in writing.
11. Email Support
Email support is included during the active license term.
Email support is limited to product and licensing questions relating to Regex101 Enterprise.
regex101 ApS will use reasonable efforts to provide an initial response within five Danish business days for support requests submitted by email. Danish business days exclude Saturdays, Sundays, and public holidays in Denmark.
This initial response target does not guarantee resolution, fix, workaround, deployment assistance, infrastructure support, security hardening, incident response, custom development, training, service levels, availability, or management of the customer’s environment.
The customer must not send production data, sensitive data, regulated data, personal data, credentials, secrets, or confidential third-party data to support unless expressly agreed in writing by regex101 ApS.
12. Customer Data and Privacy
The customer controls its self-hosted deployment and all data processed in that deployment.
regex101 ApS does not host the customer’s deployment and does not access customer data in the self-hosted environment.
regex101 ApS may receive license metadata for license validation, invoice and payment information, and support information voluntarily provided by the customer.
The customer is responsible for determining whether its use of the software complies with applicable data protection, privacy, security, employment, industry, and regulatory requirements.
13. Confidentiality
Non-public software, license keys, pricing, technical information, security information, documentation, and commercial terms disclosed by regex101 ApS are confidential.
The customer must protect such information using reasonable care and may use it only as necessary to use the software under this agreement.
14. Open Source and Third-Party Components
The software may include third-party or open-source components.
Those components are governed by their applicable third-party or open-source licenses.
This agreement does not limit rights the customer may have under applicable open-source licenses.
regex101 ApS will not knowingly include third-party or open-source components in the software in a manner that violates the applicable license terms.
If regex101 ApS becomes aware that the software, as provided by regex101 ApS and used in accordance with this agreement, infringes a third party’s intellectual property rights or violates applicable third-party or open-source license terms, regex101 ApS may, at its option, use reasonable efforts to:
(a) procure the right for the customer to continue using the affected part of the software;
(b) modify or replace the affected part so that it is no longer infringing or non-compliant; or
(c) terminate the affected license and provide a pro-rata refund of prepaid license fees for the unused portion of the then-current license term.
This remedy does not apply to claims or issues arising from customer modifications, customer-provided materials, use outside the permitted license scope, use in combination with systems or software not provided by regex101 ApS, unsupported environments, failure to apply an available update, or breach of this agreement.
This section states the customer’s sole and exclusive remedy for third-party intellectual property or open-source component claims, except to the extent mandatory law requires otherwise.
15. Limited Warranty
During the active license term, regex101 ApS warrants that the software will materially conform to the documentation made available by regex101 ApS when used in accordance with this agreement and the documentation.
This limited warranty does not apply to issues caused by the customer’s infrastructure, configuration, modifications, integrations, network, access control, third-party systems, unsupported environments, misuse, blocked license validation, or use outside the permitted license scope.
The customer’s sole and exclusive remedy for breach of this limited warranty is that regex101 ApS will use reasonable efforts to provide a correction, workaround, replacement, or other reasonable remedy.
If regex101 ApS cannot provide a reasonable remedy within a commercially reasonable time, the customer may terminate the affected license and receive a pro-rata refund of prepaid license fees for the unused portion of the then-current license term.
16. Warranty Disclaimer
Except for the limited warranty expressly stated in this agreement, the software is provided “as is” and “as available”.
To the maximum extent permitted by law, regex101 ApS disclaims all warranties, representations, conditions, and guarantees, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and error-free operation.
regex101 ApS does not warrant that the software will meet the customer’s requirements, operate without interruption, be compatible with all systems, or be free from defects, vulnerabilities, or errors.
17. Limitation of Liability
To the maximum extent permitted by law, regex101 ApS shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, business interruption, system failure, or procurement of substitute products or services.
To the maximum extent permitted by law, and except as expressly stated below, regex101 ApS’s total aggregate liability arising out of or related to this agreement, the software, or any third-party intellectual property or open-source component claim shall not exceed the amount actually paid by the customer for the applicable Regex101 Enterprise license during the twelve months immediately before the event giving rise to the claim.
The limitations in this section apply regardless of legal theory, including contract, tort, negligence, gross negligence, strict liability, statutory duty, indemnity, or otherwise.
Nothing in this agreement excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law.
18. Termination
This agreement terminates automatically when the license expires without renewal.
Either party may terminate this agreement if the other party materially breaches it and fails to cure the breach within 30 days after written notice.
regex101 ApS may suspend or terminate the license if:
- The customer fails to pay applicable fees
- The customer uses the software outside the permitted license scope
- The customer breaches the restrictions in this agreement
- The customer circumvents or interferes with license validation
If the customer terminates for regex101 ApS’s uncured material breach, the customer’s sole contractual remedy is a pro-rata refund of prepaid license fees for the unused portion of the then-current license term, unless mandatory law requires otherwise.
Termination does not create any right to damages except as expressly permitted under the limitation of liability section.
Upon expiry or termination, the customer must stop using the software and delete or destroy all copies in its possession or control, except for copies that must be retained by law and are not used.
19. Governing Law and Courts
This agreement is governed by the laws of Denmark, without regard to conflict-of-law principles.
Any dispute arising out of or related to this agreement or Regex101 Enterprise shall be subject to the exclusive jurisdiction of the courts of Denmark, unless mandatory law requires otherwise.
20. Miscellaneous
This agreement, the applicable invoice, and any written amendment expressly accepted by regex101 ApS constitute the agreement governing the customer’s use of Regex101 Enterprise.
The customer may not assign or transfer this agreement without prior written consent from regex101 ApS.
regex101 ApS may assign this agreement to an affiliate, successor, acquirer, or purchaser of substantially all assets or business relating to Regex101 Enterprise.
If any provision of this agreement is invalid or unenforceable, the remaining provisions remain in effect.
Provisions that by their nature should survive expiry or termination will survive, including restrictions, intellectual property, confidentiality, warranty disclaimer, limitation of liability, payment obligations, termination effects, and governing law.
