Regex101 Enterprise License Agreement (Self-Hosted)

This Regex101 Enterprise License Agreement governs the customer’s use of Regex101 Enterprise as self-hosted software.

This agreement applies only to Regex101 Enterprise. The general regex101 Terms of Service apply only to the public website, public tools, documentation, checkout, payment flows, or other non-enterprise services, unless expressly stated otherwise.

1. License Grant​

Subject to payment and compliance with this agreement, regex101 ApS grants the customer a non-exclusive, non-transferable, non-sublicensable, time-limited license to install and use Regex101 Enterprise in a self-hosted environment within the agreed license scope.

The license is for the customer’s internal business use only.

The software is licensed, not sold. regex101 ApS retains all ownership and intellectual property rights in the software. Access to any source code provided is subject to this agreement and grants no additional rights.

2. License Scope​

The commercial terms agreed by the parties and recorded in a quote, order, or invoice identify:

  • The customer’s legal entity
  • The seat count or applicable legacy entitlement
  • The license term and permitted deployment scope
  • The included features and purchased add-ons
  • The fees and applicable agreement version

Expressly agreed exceptions take precedence over the provisions they vary. Otherwise, the accepted commercial terms control license scope and fees, and this agreement controls the legal terms. A later invoice does not change previously accepted terms unless both parties expressly agree in writing.

Customer purchase order terms, procurement portal terms, vendor onboarding terms, or similar customer-provided terms do not modify this agreement unless expressly accepted in writing by regex101 ApS.

3. License Term​

The license starts when the license key is issued, unless the accepted commercial terms state a different start date.

The license remains valid only for the paid subscription period.

Continued use requires renewal. When the license expires or terminates, the customer must stop using the software.

After expiry or termination, access to updates ends and the software may stop working or be unable to start. Continued technical operation does not extend the license.

4. Seats, Legacy Licenses, and Add-ons​

Seats​

New licenses are seat-based. A seat is one identified individual authorized to use the software. Each authorized individual counts towards the purchased seat total, whether or not they are currently using the software.

Seats may not be shared, pooled, or rotated to avoid the purchased user count. The customer may reassign a seat when a user leaves or changes roles.

The seat limit is contractual and is not technically enforced. Use of purchased API or MCP features on the customer’s instance is covered by the user’s seat.

An omitted seat count does not grant unlimited users unless an existing unlimited-user entitlement applies.

Except for the agreed user and instance limits, this agreement does not impose limits on usage volume, regex evaluations, requests, containers, pods, servers, nodes, or infrastructure components used to operate the permitted instance.

Legacy Licenses​

Existing customers retain the entitlements granted by their accepted agreement and invoice, including licenses described as “regex101 Unlimited” and licenses with an existing user limit. These entitlements take precedence over conflicting seat, instance, entity, feature, term, or renewal provisions in this agreement.

When an existing customer adopts this agreement, continuing legacy entitlements must be recorded in the accepted quote, order, or invoice. An omission does not remove an existing entitlement unless the parties expressly agree in writing to change it.

Unlimited users does not mean a perpetual license. Renewal follows the applicable agreement and accepted renewal terms, without automatic conversion to seats or any additional guarantee of renewal.

Add-ons​

Purchased add-ons form part of the Enterprise license and are governed by this agreement. Unless an existing agreement provides otherwise, selected add-ons apply to all licensed seats and expire or terminate with the base license.

Additional seats or add-ons may be purchased under an accepted additional order and added to the existing license. The charge is the agreed price difference for the remainder of the current term, including the effect of additional seats on purchased add-ons. At renewal, the updated license is priced for the full renewal term.

An unlimited-user entitlement does not itself include optional add-ons. Existing rights to included features remain protected under the applicable agreement.

5. Instance Limit​

Each enterprise license permits the customer to host and operate one instance of Regex101 Enterprise.

If the customer purchases multiple enterprise licenses, the customer may operate one instance per enterprise license.

An instance means one running deployment of the software, regardless of the number of containers, pods, servers, nodes, or infrastructure components used to operate it.

Backup copies are permitted, provided they are not used as additional running instances.

Additional production, staging, test, development, disaster recovery, affiliate, customer-facing, or third-party instances require a separate enterprise license unless expressly agreed in writing by regex101 ApS.

6. Permitted Users​

The software may be used only by the customer’s employees and individual contractors who need access for the customer’s internal business purposes.

Contractors are permitted only while acting for the customer and only if they are subject to confidentiality and use restrictions no less protective than this agreement.

Except for the permitted contractor access above, use by affiliates, subsidiaries, parent companies, group companies, customers, vendors, or other legal entities is not permitted unless expressly agreed in writing by regex101 ApS.

7. Restrictions​

The customer may not:

  • Redistribute, sublicense, sell, rent, lease, lend, or otherwise make the software available to any third party
  • Provide access outside the customer’s legal entity, except to permitted contractors under this agreement
  • Use the software to provide a hosted, managed, outsourced, white-label, commercial, or third-party service
  • Use the software for resale or to serve external customers
  • Copy or extract the software or its source code except as necessary for the permitted installation, operation, or backups, or reuse its code in another product or service, except where section 14 or mandatory law permits otherwise
  • Reverse engineer, decompile, disassemble, modify, adapt, or create derivative works of the software, except where such restriction is prohibited by law
  • Circumvent, disable, block, or interfere with license validation, license keys, technical restrictions, or access controls
  • Remove proprietary notices, copyright notices, trademarks, or legal notices
  • Use the software to build or improve a competing product or service
  • Use the software in violation of applicable law

The customer is responsible for all use of the software by its users.

8. Self-Hosted Software​

Regex101 Enterprise is self-hosted software.

regex101 ApS does not host, operate, monitor, administer, secure, back up, or manage the customer’s deployment.

The customer is responsible for installation, infrastructure, configuration, access control, authentication, network security, backups, monitoring, availability, disaster recovery, compliance, and operation of the software.

No uptime commitment, service level agreement, hosting obligation, managed service, or operational responsibility is provided unless expressly agreed in writing by regex101 ApS.

9. License Validation​

The software requires outbound access for license validation unless an air-gapped or offline license has been expressly agreed with regex101 ApS.

The software may periodically validate license status using license metadata.

The customer may not disable, block, circumvent, interfere with, or misrepresent license validation.

If license validation fails, the software may stop working or be unable to start.

Air-gapped or restricted-network environments are available on request and must be agreed separately.

10. Updates​

Updates are included during the active license term when made available by regex101 ApS. Included updates do not automatically include future separately licensed features.

regex101 ApS may modify, update, improve, or discontinue features, subject to the customer’s agreed feature entitlements and the limited warranty in section 15.

regex101 ApS does not guarantee any specific update, patch, release schedule, feature, compatibility change, or security fix.

If regex101 ApS becomes aware of a security vulnerability that requires a customer update, regex101 ApS will make reasonable efforts to notify affected enterprise customers.

Access to updates ends when the license expires or terminates.

regex101 ApS may offer different licensing terms for future purchases or renewals, subject to existing renewal rights. Revised terms apply only when agreed and do not retroactively affect an active, paid license term unless expressly agreed in writing. Publishing revised terms or installing an included update does not itself change the agreed license entitlement.

11. Email Support​

Email support is included during the active license term.

Email support is limited to product and licensing questions relating to Regex101 Enterprise.

regex101 ApS will use reasonable efforts to provide an initial response within five Danish business days for support requests submitted by email. Danish business days exclude Saturdays, Sundays, and public holidays in Denmark.

This initial response target does not guarantee resolution, fix, workaround, deployment assistance, infrastructure support, security hardening, incident response, custom development, training, service levels, availability, or management of the customer’s environment.

Support submissions must not include credentials, trade secrets, sensitive personal data, or other confidential production or third-party information unless expressly agreed in writing by regex101 ApS. Ordinary business contact details needed for support may be provided. Logs and examples should be redacted where necessary.

12. Customer Data and Privacy​

The customer controls its self-hosted deployment and all data processed in that deployment.

regex101 ApS does not host the customer’s deployment and does not access customer data in the self-hosted environment.

regex101 ApS may receive business contact details, license metadata, invoice and payment information, and support information voluntarily provided by the customer. These records and the software’s limited outbound checks are described in the Enterprise Privacy Policy.

The customer is responsible for determining whether its use of the software complies with applicable data protection, privacy, security, employment, industry, and regulatory requirements.

13. Confidentiality​

Non-public software (including source code), license keys, pricing, technical and security information, documentation, and commercial terms disclosed by regex101 ApS are confidential. Non-public commercial, technical or security information disclosed by the customer for procurement, licensing or support is also confidential if identified as confidential or reasonably understood to be confidential from its nature or the circumstances of disclosure.

Each party will use reasonable care to protect the other party’s confidential information and use it only to exercise its rights or perform its obligations under this agreement. Disclosure is permitted only to representatives who need to know it for those purposes and are bound by confidentiality obligations no less protective than this section. Each party is responsible for their compliance. This does not expand permitted software access or change the support submission restrictions in section 11.

These obligations do not apply to information the recipient can demonstrate was already lawfully known without restriction, becomes public without breach, is independently developed without using the confidential information, or is lawfully received from another source without restriction.

Disclosure required by law or a competent authority is permitted, limited to what is required and with prior notice where legally permitted and reasonably practicable.

14. Open Source and Third-Party Components​

The software may include third-party or open-source components. Those components are governed by their applicable licenses. This agreement does not limit rights the customer may have under those licenses.

regex101 ApS will use reasonable care to review included components for compliance with their applicable licenses and will not knowingly distribute components in violation of those licenses. Each release includes THIRD-PARTY-NOTICES.txt, listing the included third-party packages and their applicable licenses.

If regex101 ApS becomes aware that the software, as supplied and used in accordance with this agreement and the documentation, infringes a third party’s intellectual property rights or violates applicable third-party or open-source license terms, regex101 ApS may, at its option:

(a) use reasonable efforts to procure the right for the customer to continue using the affected part;

(b) use reasonable efforts to modify or replace the affected part so that it is no longer infringing or non-compliant; or

(c) terminate the affected license and provide a pro-rata refund of license fees paid for the unused portion of the then-current license term, including purchased add-ons that terminate with it.

These remedies do not apply to issues caused by customer modifications, customer-provided materials, use outside the permitted license scope, unsupported environments, breach of this agreement, or combinations with systems or software not supplied or authorized by regex101 ApS where the issue would not otherwise arise. They also do not apply where an available update would have prevented the issue and the customer failed to apply it after notice and a reasonable opportunity.

Subject to section 17, this section states the customer’s sole and exclusive contractual remedies for third-party intellectual property or open-source component claims. regex101 ApS has no obligation under this agreement to defend or indemnify the customer or pay damages, settlements, legal fees or other costs in respect of third-party claims unless expressly agreed separately in writing.

15. Limited Warranty​

During the active license term, regex101 ApS warrants that the software will materially conform to the documentation made available by regex101 ApS when used in accordance with this agreement and the documentation.

This limited warranty does not apply to issues caused by the customer’s infrastructure, configuration, modifications, integrations, network, access control, third-party systems, unsupported environments, misuse, blocked license validation, or use outside the permitted license scope.

Subject to section 17, the customer’s sole and exclusive remedy for breach of this limited warranty is that regex101 ApS will use reasonable efforts to provide a correction, workaround, replacement, or other reasonable remedy.

If regex101 ApS cannot provide a reasonable remedy within a commercially reasonable time, the customer may terminate the affected license and receive a pro-rata refund of license fees paid for the unused portion of the then-current license term, including purchased add-ons that terminate with it.

16. Warranty Disclaimer​

Except for the express commitments and limited warranty stated in this agreement, the software is provided “as is” and “as available”.

Subject to those express commitments and section 17, and to the maximum extent permitted by law, regex101 ApS disclaims all other warranties, representations, conditions, and guarantees, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and error-free operation.

regex101 ApS does not warrant that the software will meet the customer’s requirements, operate without interruption, be compatible with all systems, or be free from defects, vulnerabilities, or errors.

17. Limitation of Liability​

To the maximum extent permitted by law, and subject to the exceptions below, regex101 ApS will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, business interruption, system failure, or procurement of substitute products or services.

Subject to the same qualifications, regex101 ApS’s total aggregate liability arising out of or related to this agreement or the software shall not exceed the license and add-on fees, excluding VAT and similar taxes, actually paid by the customer for the applicable Regex101 Enterprise license during the twelve months immediately before the first event giving rise to liability. This is a single aggregate cap for all claims relating to that license. Refunds and other amounts paid in satisfaction of claims count towards it.

The exclusions and cap apply to confidentiality breaches and third-party intellectual property or open-source component claims, regardless of legal theory, including contract, tort, negligence, gross negligence, strict liability, statutory duty, indemnity, or otherwise.

No exclusion or limitation of liability or exclusive-remedy provision in this agreement applies to liability caused by fraud or wilful misconduct, or to liability that cannot lawfully be excluded or limited.

The exclusions and monetary cap in this section apply only to regex101 ApS.

18. Termination​

This agreement terminates automatically when the license expires without renewal.

Either party may terminate this agreement if the other party materially breaches it and fails to cure the breach within 30 days after written notice.

The cure period does not prevent regex101 ApS from seeking interim court relief against unauthorized use or disclosure of the software or its source code, subject to applicable law.

Subject to the same 30-day written notice and cure period, regex101 ApS may suspend or terminate the license if:

  • The customer fails to pay applicable fees
  • The customer uses the software outside the permitted license scope
  • The customer breaches the restrictions in this agreement
  • The customer circumvents or interferes with license validation

Subject to section 17, if the customer terminates for regex101 ApS’s uncured material breach, the customer’s sole contractual remedy is a pro-rata refund of license fees paid for the unused portion of the then-current license term, including purchased add-ons that terminate with it. This exclusive remedy does not restrict claims for breach of section 13, which remain subject to section 17.

Termination does not extinguish liabilities accrued before termination. Any damages remain subject to the applicable exclusive remedies and section 17, and the same loss may not be recovered more than once.

Upon expiry or termination, the customer must stop using the software and delete or destroy all copies in its possession or control, except for copies that must be retained by law and are not used.

19. Governing Law and Courts​

This agreement is governed by the laws of Denmark, without regard to conflict-of-law principles.

Any dispute arising out of or related to this agreement or Regex101 Enterprise shall be subject to the exclusive jurisdiction of the courts of Denmark, unless mandatory law requires otherwise.

20. Miscellaneous​

This agreement, the applicable commercial terms accepted by both parties, any existing entitlements preserved under section 4, and any written amendment expressly agreed by both parties constitute the agreement governing the customer’s use of Regex101 Enterprise.

The customer may not assign or transfer this agreement without prior written consent from regex101 ApS.

regex101 ApS may assign this agreement to an affiliate, successor, acquirer, or purchaser of substantially all assets or business relating to Regex101 Enterprise.

If any provision of this agreement is invalid or unenforceable, the remaining provisions remain in effect.

Provisions that by their nature should survive expiry or termination will survive, including restrictions, intellectual property, confidentiality, warranty disclaimer, limitation of liability, payment obligations, termination effects, and governing law.
